Brand Terms of Service - Reelpay

1.1 Platform Role. Reelpay operates an online marketplace that connects Brands seeking user generated video content and creative services (“Deliverables”) with creators capable of producing them (“Creators”).

1.2 No Direct Provision. Although you can use the Platform to request and purchase Deliverables, Reelpay is not the provider. Any agreement to create Deliverables is formed directly between you and the Creator. Reelpay facilitates the process as an intermediary.

1.3 Disclaimer. Reelpay disclaims liability for these separate dealings, even though we provide support to make the process smoother..

2.1 Limited Payment Agent. For payment-related activities, Reelpay acts solely as your limited payment collection agent. We receive funds through authorized payment processors (including Paystack and Stripe), hold them for settlement, and disburse them to Creators once you approve Deliverables.

2.2 Authorization. By using the Platform, you expressly appoint and empower us to act as your limited payment agent for receiving, holding, offsetting, and disbursing funds in connection with Orders.

2.3 No Custody. We do not provide deposit-taking, money transmission, or investment services. Funds are held only as necessary to complete settlement.

2.4 Offsets You authorize us to offset, withhold, or debit from funds any (i) outstanding Platform fees, (ii) refunds, chargebacks, or reversals, and (iii) any other amounts you owe.

2.5 Taxes.We may suspend or delay disbursement if we reasonably suspect fraud, money-laundering, or legal violations. We will notify you where lawful.

2.6 No Creator Guarantee. Except as required by law, we are not liable for a Creator’s performance, the quality of Deliverables, or disputes once funds are disbursed according to your approval.

3.1 Account Creation. You must provide accurate, up-to-date information and keep your profile current.

3.2 Security. You are responsible for safeguarding your login credentials. All actions under your account are deemed your responsibility.

3.3 Multiple Accounts. You may not create or operate more than one Brand account for the same entity without our written consent.

3.4 Entity Authority. If registering on behalf of an entity, you represent you are authorized to bind that entity.

3.5 Platform Access Limits. We may restrict or limit registration for quality, balance, or compliance reasons.

3.6 Sanctions & Prohibited Use. You may not use the Platform if you are subject to sanctions, support unlawful activity, or violate applicable law.

4.1 Definition. An “Order” means any Brand request for Deliverables placed via the Platform.

4.2 Creator Selection. Creators may apply for Offers, or Brands may invite them.

4.3 Instructions. You must provide all necessary instructions and ship products (if required) promptly.

4.4 Binding Agreement. A binding contract forms between you and the Creator once you assign an Offer or purchase Creator services.

4.5 Approval. Deliverables must be explicitly approved by you. No automatic approval applies.

4.6 Refunds for Non-Delivery. If a Creator fails to deliver, Reelpay will refund the Brand.

5.1 Brand Responsibility. You are solely responsible for ensuring Deliverables comply with advertising and regulatory standards.

5.2 No AI Content. Deliverables must not include AI-generated content.

5.3 Release of Liability. By accepting Deliverables, you release Reelpay from liability relating to their creation or use, except where Reelpay’s direct misconduct is judicially established.

6.1 Assignment. Upon full payment and approval, the Creator irrevocably assigns to you all intellectual property rights in the Deliverables, worldwide and for the full duration of those rights.

6.2 Moral Rights. Creators retain moral rights (such as attribution and integrity of work) to the extent required by law.

6.3 Reelpay License Back. You grant Reelpay a non-exclusive, royalty-free license to use Deliverables solely for case studies, marketing, and Platform promotion.

6.4 Platform IP. All intellectual property in the Platform remains Reelpay’s property.

7.1 Order Fees.Each Order includes a fee payable to the Creator.

7.2 Platform Fees. You agree to pay applicable Platform fees.

7.3 Real-Time Payments. Payments are processed in real time. Orders cannot proceed unless cleared.

7.4 Refunds. If no Creator accepts an Order within thirty (30) days, you may request a refund.

8.1 Restriction.You agree not to solicit, contract with, or pay any Creator outside the Platform for similar services.

8.2 Duration. This restriction is permanent.

8.3 Pre-Existing Relationships. If you can prove a pre-existing relationship, this restriction does not apply.

9.1 Brand Warranties. You warrant that your materials are accurate, legal, and properly licensed.

9.2 Disclaimer. Reelpay provides the Platform “as is” and disclaims warranties of uninterrupted or error-free service.

9.3 Liability Cap. Reelpay’s aggregate liability is limited to the total fees you paid in the three (3) months preceding the claim.

9.4 Mutual Indemnities. Each party agrees to indemnify the other against claims arising from breach of these Terms, to the extent attributable to them.

9.5 Creator Performance. Reelpay disclaims liability for Creator performance; however, if Deliverables are not delivered, you will receive a refund.

10.1 Grounds. We may suspend or terminate your account for violations of these Terms or law.

10.2 Notice & Appeal. You will be notified and may appeal within fourteen (14) days.

10.3 Termination for Convenience. Either party may terminate with thirty (30) days’ notice.

10.4 Effect. All active Orders are cancelled outright upon termination.

11.1 Confidentiality. You must treat confidential information received via the Platform as confidential.

11.2 Privacy. Our Privacy Policy governs how we process data.

11.3 Monitoring. We reserve the right to monitor activity to prevent fraud and ensure compliance.

12.1 Access. We may offer educational programs (“Reelpay Academy”).

12.2 Terms. Access to the Academy is governed by these Terms unless otherwise specified.

13.1 Governing Law. These Terms are governed by the laws of the State of Delaware, USA.

13.2 Arbitration. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), seated in Delaware, in English.

13.3 Court Relief. Either party may seek injunctive relief in a court of competent jurisdiction in Delaware where necessary.

14.1 Reporting. You may report illegal content via support@reelpay.co.

14.2 Action. We will review and, if appropriate, remove or disable such content.

15.1 Compliance. You must comply with advertising regulations, including those of the FTC (US), ASA (UK), FCCPC (Nigeria), and applicable platform disclosure tools.

15.2 Disclosure. You may not instruct a Creator to conceal the commercial nature of content.

We may change or discontinue parts of the Platform at any time.

We may amend these Terms. Continued use after changes indicates acceptance

18.1 Entire Agreement. These Terms are the entire agreement between you and Reelpay.

18.2 Severability. If part is invalid, the rest remains enforceable.

18.3 No Waiver. Failure to enforce does not waive rights.

18.4 Assignment. You may not assign these Terms without consent; Reelpay may assign in connection with a merger, acquisition, or sale.

18.5 Notices. We may provide notices via email or in-app notifications.

1. Authorization. By connecting an advertising account (Meta, TikTok, Google/YouTube or successor products) to the Platform, you authorize Reelpay to access related data via APIs and process it as described herein.

2. Use of Data. We may:

• Analyze and visualize your data in dashboards and reports.
• Generate insights, trends, and optimization recommendations.
• Aggregate and anonymize data for benchmarks and AI training.
• Use aggregated data to improve models and predictions.

3. Retention & Revocation. If you disconnect an account, we will cease new data pulls within 24 hours and anonymize historical data within 30 days, unless legally required to retain it.

4. Compliance. You must comply with all platform terms (e.g., Meta’s Commercial Terms, TikTok Ads policies, Google Ads policies).

5. Confidentiality. Reelpay will not publicly disclose Brand-identifiable results without prior written consent.

6. Liability. The liability caps in Section 9 apply equally to our use of Ad Platform Data.

7. Amendments. We may modify these Annex Terms to comply with changes in platform policies or laws.
